Job Description

· Undertake corporate secretarial work for PLCs and Sdn Bhds

· Manage a team of corporate secretarial staff (3-5) in all aspects of company secretarial functions inclusive of:

Ø Preparation / review of resolutions and documents for lodgment at the relevant authorities and monitor compliance with submission deadlines;

Ø Advise / guide clients on policies, processes and statutory issues;

Ø Liaise with Companies Commission of Malaysia, Bursa Malaysia and all other relevant authorities in connection with company secretarial matters and alert clients on regulatory updates;

Ø Maintain and update the statutory books and records in compliance with the Companies Act, 1965 and any other regulatory requirements such as Bursa Malaysia's Listing Requirements;

Ø Attend Board meetings, Annual General Meetings, Extraordinary General Meetings and others as required, and undertake preparation of meeting notice, agenda and minutes;

Ø Update and maintain relevant statutory records and documents; and

Ø New business registration, licensing, work permit applications, restructuring or liquidation of companies.

· Act as named company secretary for PLCs

· Fully accountable for client servicing and relationship building with the assigned portfolio of companies

· Fee billing and collection / revenue KPI

· Participate in events, seminars and conferences and develop and win business opportunities with potential clients


ICSA plus degree / diploma in relevant disciplines such as Corporate Administration, Law, Accounting, etc;

MAICSA / MACS membership;

At least 8-10 years of relevant company secretarial experience in other secretarial service providers;

Knowledge of Listing Requirements, Companies Act, Capital Market and Securities Act, and other statutory requirements, securities and business rules and regulations that are related to corporate secretarial functions;

Liaising with SSM, Bursa and MAICSA;

Experience in administering secretarial services to public-listed companies and multinationals;

Good inter-personal and communication skills;

Good command of English and business writing skills;

Can manage intermittent long hours, tight deadlines and a large portfolio of clients;

Able to work independently with strong sense of integrity and trust;

Knowledge of MS Word / Excel and secretarial software eg Viewpoint
