Job Description :

Key Responsibilities:
  • The post holder will be expected to report to the Associate General Counsel and will be expected to take responsibility for a legal aspects of proposed construction contracts / documentation advising on all stages from the bid stage to completion.
  • The work will involve drafting of bespoke clauses, pre-construction agreements, PAM Contracts, and regulatory work and reviewing and providing legal advice onTenderDocuments.
  • Review andanalysecommercial transactions in order to mitigate risk and ensure compliance with internal policies, standard operating procedures, corporate policy and strategy and applicable laws.
  • Providing corporate advice across all departments of the business
  • Support the sales/marketing function in taking the company to market and engaging with clients to raise the profile of the practice


The Role will also deal with:
  • Leasing transactions
  • Acquisitions / disposals,
  • Related real estate contracts
  • Negotiating and liaising with external counsel
  • Supporting the Land team in its management of all legal services for real estate development activities


Legal Risk:
  • Review and provide legal advice on tender documents
  • Review ongoing cases and advice management accordingly
  • Liasewith relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken
  • Provide legal protection and risk management advice to management especially on contract management
  • Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff


Policy Development:
  • Review and advise management on legal implications of internal policies and procedures
  • Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements


Litigation Management:
  • Review progress or outstanding litigation and liaise with and manage external lawyers
  • Formulate compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly
  • Continuously monitor compliance with statutory obligations and advise management accordingly
  • Prepare monthly and quarterly reports for the department for executive management meetings


Contract Drafting & Negotiation:
  • Review all contracts or any other documentation where the Company has committed itself and assess legal implications that needs to be brought to the executive managements attention
  • Prepare, review and modify contractual instruments to assist and support various business activities
  • Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time


Administrative Duties:
  • Provide continuous leadership, supervision, training and development of department staff ensuring an effective and motivated team
  • Liaise with the HR Department in conducting performance appraisals and ensure competency and training gaps are addressed


Focus Areas of Responsibility % of time spent:
  • Legal advisory, contracts drafting and contracts management 60%
  • Regulatory support (Negotiations, contracts and compliance) 20%
  • Risk Management 10%


The Candidate:
  • Ideal candidate will have 2-5 years experience obtained in a major law firm. Previous in-house experience will also be considered.
  • Familiar with commercial contracts, commercial, corporate, intellectual property and employment law.
  • Excellent legal knowledge and drafting experience of key standard construction and infrastructure contracts Malaysia and FIDIC form of contract.
  • Excellent communication andorganisationalskills.
  • Team player with strong technical ability, as well as commercial awareness.


Skill Required:
  • At least 8 years contract drafting experience ideally in a leading infrastructure or railway organization, with a proven track record in contract negotiation and drafting;
  • Proven track record of providing accurate and effective legal counsel; and
  • Proven track record of adding value to an organization through the development of comprehensive contract documents that mitigate risk and penalties


Core Technical Competencies Required:
  • In-depth knowledge of regulatory law;
  • Sound knowledge of the legal aspects of construction and or railway industry
  • Sound knowledge on contract drafting Malaysia and FIDIC Form of Contract
  • People Management 10%
