Job Purpose The role will be part of the Legal & Corp Sec team and focus on providing corporate secretarial support to the business units under Keppel Capital. Key Responsibilities Working as part of the corporate secretariat team with key responsibilities including:
preparation of resolutions and minutes of members and boards; and obtain signatories and update board meeting papers, arranging board, committee and shareholders meetings;
organizing boards, committees and shareholders meetings;
ensuring compliance with relevant company legislations and regulations;
updating and maintaining corporate secretarial database and statutory records;
maintaining corporate secretarial records and a disciplined system for corporate secretarial activities and standards;
incorporating and managing local and overseas companies and providing necessary corporate information to directors and management;
attending to due diligence requirements of companies for local and offshore jurisdictions;
liaising with various secretarial agents of Singapore and offshore/overseas jurisdictions;
liaising with auditors and local secretarial agents for statutory review and prepare statement of minutes and resolutions;
reviewing and preparing invoices for approval;
For listed companies, draft and prepare the SGXNet announcements for Company Secretarys review and assist to release SGXNet announcements.
For listed companies, assisting the Company Secretary in preparation of information for Annual Report (Corporate Information, Directors Information, Corporate Governance Report, Notice of AGM, Proxy Form & Shareholders Information); and handling and liaising assigned projects when required.

Pre-requisites: Ideally, you should possess a corporate secretarial qualification (ICSA) with at least 3 years of experience in corporate secretarial matters, be able to work independently with excellent written and communication skills. You should be meticulous and possess good organizational skills with excellent knowledge in MS Office such as MS Word and Excel, a committed good team player who is able to multi-task and work well with others.BUSINESS UNIT Keppel Capital

Handling end to end New business processing starting from creation of Client id,Case start up, New business login, Follow up for policy issuance, Quality Check
Follow up with HUB for policy issuance of pending cases
